Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the partnership between you ("Partner", "you", or "your") and Raceday Punting ("Raceday Punting", "we", "us", or "our"). By applying for and entering into a partnership with Raceday Punting, you agree to be bound by these Terms in their entirety.

Please read these Terms carefully before submitting your application. If you do not agree with any part of these Terms, you must not proceed with your application or enter into a partnership with Raceday Punting.

2. Definitions

In these Terms, unless the context otherwise requires:

• "Partnership" means the arrangement between Raceday Punting and the Partner as outlined in these Terms.
• "Partnership Term" means the period of ninety-three (93) days commencing on the date the Partner's application is approved by Raceday Punting.
• "Payment" means the sum of two hundred Australian dollars (AUD $200) paid to the Partner upon approval of their application.
• "Betting Accounts" means any accounts with bookmakers that are created or used during the Partnership Term.
• "UP Easy Money Account" means the digital banking service account that may be used during the Partnership Term.

3. Partnership Term

3.1 The Partnership Term shall be for a fixed period of ninety-three (93) days, commencing on the date your application is approved by Raceday Punting.

3.2 Raceday Punting reserves the right, at its sole discretion, to terminate the Partnership at any time prior to the expiration of the Partnership Term if you breach any provision of these Terms.

3.3 Upon expiration or termination of the Partnership Term, all Betting Accounts used during the Partnership will be closed, except for any accounts you have specifically requested to retain for personal use (limited to PointsBet accounts only).

4. Payment

4.1 Upon approval of your application, Raceday Punting will pay you the sum of two hundred Australian dollars (AUD $200) via your nominated payment method (OSKO or PayID).

4.2 The timing and processing of the Payment is at the sole discretion of Raceday Punting, though we generally aim to process payments within 24-48 hours of application approval.

4.3 Raceday Punting reserves the right to withhold, delay, or recover the Payment if:

• You have provided false, misleading, or incomplete information in your application;
• You breach any provision of these Terms;
• You attempt to interfere with Raceday Punting's management of the Betting Accounts;
• You have previously participated in a similar program or partnership;
• Any other circumstances arise that, in Raceday Punting's reasonable opinion, justify the withholding, delay, or recovery of the Payment.

4.4 The Payment constitutes the entire financial benefit you will receive from the Partnership. You are not entitled to any share of profits, winnings, or other financial benefits that may arise from the betting activities conducted during the Partnership Term.

5. Account Access and Management

5.1 By entering into the Partnership, you grant Raceday Punting full and exclusive permission to:

• Create and/or use Betting Accounts in your name;
• Create and/or use an UP Easy Money Account in your name;
• Conduct betting activities using these accounts;
• Manage all aspects of these accounts, including deposits, withdrawals, and betting transactions.

5.2 During the Partnership Term, you agree that you will NOT:

• Access, log into, or attempt to access or log into any Betting Accounts or UP Easy Money Account being used for the Partnership;
• Interfere with Raceday Punting's management of these accounts in any way;
• Share access credentials for these accounts with any third party other than Raceday Punting;
• Use any information obtained through the Partnership for any purpose other than as expressly permitted by these Terms.

5.3 You acknowledge and agree that any funds deposited into or held in the Betting Accounts or UP Easy Money Account during the Partnership Term are the property of Raceday Punting, regardless of the account being in your name.

5.4 You acknowledge that Raceday Punting has full discretion regarding the betting strategies, stake sizes, and specific bets placed using the Betting Accounts.

6. Account Limitations and Restrictions

6.1 You acknowledge and agree that the use of Betting Accounts by Raceday Punting may result in those accounts being limited or restricted by the bookmakers, including but not limited to:

• Restrictions on accessing promotions, bonuses, or special offers;
• Limitations on maximum bet sizes;
• Limitations on markets available for betting;
• Complete restriction or closure of accounts.

6.2 Raceday Punting shall not be liable for any limitations, restrictions, or other actions taken by bookmakers in relation to the Betting Accounts during or after the Partnership Term.

6.3 You acknowledge that any limitations or restrictions imposed on the Betting Accounts may persist beyond the Partnership Term and may affect your ability to use those bookmakers in the future, should you choose to do so.

7. Data Protection and Privacy

7.1 Raceday Punting will collect, store, and process your personal information in accordance with our Privacy Policy and applicable privacy laws.

7.2 You acknowledge that Raceday Punting will need to share certain personal information with bookmakers and other third parties to create and manage accounts on your behalf.

7.3 While Raceday Punting implements reasonable security measures to protect your personal information, you acknowledge and agree that no method of transmission over the Internet or electronic storage is 100% secure. Raceday Punting shall not be liable for any data breaches, unauthorized access, or other security incidents that are beyond our reasonable control.

7.4 Raceday Punting shall not be responsible for the privacy practices or security measures of bookmakers or other third parties with whom your information is shared as part of the Partnership.

7.5 Upon conclusion of the Partnership Term, Raceday Punting will delete your ID documents and personal information in accordance with our Privacy Policy, except where retention is required by law or for legitimate business purposes.

8. Partner Representations and Warranties

8.1 By entering into the Partnership, you represent and warrant that:

• You are at least 18 years of age;
• You are a legal resident of Australia;
• You have not previously participated in a similar program or partnership;
• All information provided in your application is true, accurate, complete, and not misleading;
• You have the legal capacity and authority to enter into the Partnership and grant the permissions required under these Terms;
• Your participation in the Partnership does not violate any laws, regulations, or agreements to which you are subject;
• You are not an employee, contractor, or affiliate of any bookmaker or betting company;
• You are not subject to any restrictions that would prevent you from opening or operating betting accounts.

8.2 You acknowledge that Raceday Punting relies on these representations and warranties in entering into the Partnership with you.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, Raceday Punting shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or other intangible losses;
• Damages arising from limitations or restrictions imposed on Betting Accounts by bookmakers;
• Damages arising from unauthorized access to your personal information;
• Damages arising from any inability to use bookmakers or betting services after the Partnership Term;
• Any other damages arising from or related to the Partnership, whether based on warranty, contract, tort (including negligence), or any other legal theory.

9.2 In any event, Raceday Punting's total liability to you for all claims arising from or related to the Partnership shall not exceed the amount of the Payment (AUD $200).

10. Indemnification

10.1 You agree to indemnify, defend, and hold harmless Raceday Punting and its officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your breach of these Terms;
• Your violation of any law, rule, or regulation;
• Your violation of any rights of a third party;
• Any misrepresentation made by you in connection with the Partnership;
• Any unauthorized use of the Betting Accounts or UP Easy Money Account.

11. Dispute Resolution

11.1 Any dispute, controversy, or claim arising out of or relating to these Terms or the Partnership shall be resolved through good faith negotiations between the parties.

11.2 If the dispute cannot be resolved through negotiations within thirty (30) days, either party may submit the dispute to mediation in accordance with the mediation rules of the Australian Disputes Centre.

11.3 If the dispute cannot be resolved through mediation within sixty (60) days, either party may commence legal proceedings in the courts of Victoria, Australia.

11.4 You agree that the courts of Victoria, Australia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Partnership.

12. Class Action Waiver

12.1 By entering into the Partnership, you irrevocably waive any right you may have to join claims with those of others in the form of a class action or similar procedural device. Any claims arising out of, relating to, or connected with these Terms or the Partnership must be asserted individually.

12.2 You acknowledge and agree that this waiver is an essential part of these Terms and that you would not have been permitted to enter into the Partnership on the terms provided without agreeing to this waiver.

12.3 You expressly waive any ability to bring, join, or participate in a class action, collective action, private attorney general action, or any other representative proceeding against Raceday Punting or any of its officers, directors, employees, agents, or representatives.

12.4 This class action waiver shall be enforceable to the maximum extent permitted by applicable law.

13. Governing Law

13.1 These Terms and the Partnership shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law principles.

14. Severability

14.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.2 If any provision is found to be invalid, illegal, or unenforceable, the parties shall negotiate in good faith to modify these Terms so as to effect the original intent of the parties as closely as possible.

15. Entire Agreement

15.1 These Terms constitute the entire agreement between you and Raceday Punting regarding the Partnership and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.

16. No Waiver

16.1 The failure of Raceday Punting to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.2 No waiver of any provision of these Terms shall be effective unless it is in writing and signed by an authorized representative of Raceday Punting.

17. Assignment

17.1 You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Raceday Punting.

17.2 Raceday Punting may assign or transfer these Terms or any rights or obligations hereunder without your consent.

18. Force Majeure

18.1 Raceday Punting shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government actions, labor disputes, or Internet service provider failures or delays.

19. Modifications to Terms

19.1 Raceday Punting reserves the right to modify these Terms at any time. Any modifications will be effective immediately upon posting the updated Terms on our website.

19.2 Your continued participation in the Partnership after the posting of updated Terms constitutes your acceptance of the modified Terms.

19.3 It is your responsibility to review these Terms periodically for changes.

21. Acknowledgment

21.1 By applying for and entering into the Partnership, you acknowledge that you have read, understood, and agree to be bound by these Terms.

21.2 You further acknowledge that these Terms constitute a binding legal agreement between you and Raceday Punting.
